Notification of important changes concerning voting rights under article 14 of L. 3556/2007

“HELLENiQ ENERGY Holdings S.A.” (the “Company”) announces, pursuant to the provisions of article 14 of L. 3556/2007, that, following a relevant notification received from POIH Investments Limited on 13.12.2023, POIH Investments Limited, indirectly through “Paneuropean Oil and Industrial Holdings S.A.” (“POIH”)*, as of 8.12.2023, holds 123,510,479 voting rights deriving from an equal amount of common, registered, voting, dematerialized shares, which correspond to 40.41% of the total voting rights of the Company, against 47.12% which it held prior to 8.12.2023. The voting rights are depicted below:

Notification of important changes concerning voting rights under article 14 of L. 3556/2007

“HELLENiQ ENERGY Holdings S.A.” (the “Company”) announces, pursuant to the provisions of article 14 par.3 of L. 3556/2007, that, following a notification received from the Hellenic Republic on 20.01.2025, the 31.18% of the Company’s share capital and voting rights previously held directly by the “Hellenic Republic Asset Development Fund S.A.” (“HRADF”), was transferred on 31 December 2024 to the “Hellenic Corporation of Assets and Participations” (“HCAP”) as a result of the merger by absorption of the HRADF. The sole shareholder of HCAP is the Hellenic Republic. Therefore, the total percentage of the Company’s share capital and voting rights controlled by the Hellenic Republic remains unchanged.

Announcement of regulated information

HELLENiQ ENERGY Holdings S.A. (the "Company"), further to the notification of a transaction received on 13 September 2024, announces, in accordance with Article 19 of the Regulation (EU) 596/2014 of the European Parliament and of the Council of 16 April 2014, as well as L. 3556/2007, that Mr. Nikolaos Vrettos, an independent non-executive member of the Board of Directors of the Company, proceeded through the Athens Exchange to the sale of 10,000 common, registered shares of the Company on 12 September 2024, amounting to a total value of €70,300.

“HELLENiQ ENERGY Holdings S.A.” (the “Company”) announces, pursuant to the provisions of article 14 of L. 3556/2007, that, following a relevant notification received from the Hellenic Republic on 13.12.2023, Hellenic Republic*, indirectly, through its participation in the “Hellenic Corporation of Assets and Participations S.A.” (“HCAP”) and through HCAP’s participation in the “Hellenic Republic Asset Development Fund S.A.” (“HRADF”), as of 8.12.2023 holds 95,301,987 voting rights deriving from an equal amount of common, registered, voting, dematerialized shares, which correspond to 31.18% of the total voting rights of the Company, against 35.48% which it held prior to 8.12.2023.
