Farm-In agreement for ExxonMobil’s participation in the Block 2 concession block

HELLENiQ ENERGY Holdings S.A. (the “Company”) announces that the Company, together with ExxonMobil and Energean, has signed a Farm-In agreement regarding the participation of ExxonMobil in the Block 2 concession, which is located in the northwestern Ionian Sea.

Pursuant to the terms of the agreement, ExxonMobil will acquire a 60% interest in the concession. Energean shall retain a 30% interest, reduced from its original holding of 75%, while the Company shall retain a 10% interest compared with its initial share of 25%. Energean will continue to serve as Operator during the exploration phase. In the event of a hydrocarbon discovery, ExxonMobil will assume operatorship during the development phase. The consortium is expected to make a decision regarding the commencement of drilling activities in the near future.

The completion of the transaction remains subject to applicable government approvals and the fulfillment of customary closing deliverables.

Completion of the Acquisition of 50% of the Share Capital of Elpedison B.V.

HELLENiQ ENERGY Holdings S.A. (the “Company") announces the completion of the acquisition (the “Transaction”) from "Edison International Shareholdings S.p.A.” of 50% of the share capital of Netherlands-based "Elpedison B.V.", owner of 100% of its Greek subsidiary "Elpedison Power Generation Single Member Société Anonyme ("ELPEDISON"). The Transaction has been successfully completed following the granting of the required approvals from the competent regulatory authorities, both in Greece and internationally.
